Agreement to Our Legal Terms

We are Mamadou Doumbia, doing business as Emdidi Studio ("Company," "we," "us," "our"), an individual developer based in the United States. We operate the mobile application Em Degree Tracker (the "App"), along with any related products or services that refer or link to these legal terms (collectively, the "Services").

Em Degree Tracker is a personal academic companion designed to help students track grades, organize courses, and manage degree progress efficiently.

Key Features

Grade Tracking: Input grades for assignments, tests, and classes; final course grades are calculated automatically.
University & Program Selection: Browse and select universities, academic programs, and courses within the app.
Course Descriptions: Access detailed course information to make informed academic decisions.

Important Notes

Em Degree Tracker is a supplementary tool and does not replace official university systems.
University and course data may change; users should verify information through official sources.
Users are responsible for the accuracy of the information they enter into the app.

EM DEGREE TRACKER — Terms of Use

1. Use of the App and Services

1.1. The Em Degree Tracker App is designed to assist students in tracking their academic progress, including grades for completed, in-progress, or pending classes. Users may input their grades in letter or numerical format and select their university, academic level, and program from a provided list within the App.

1.2. The App serves solely as a tool for tracking academic progress and does not replace official university records or degree audits. Em Degree Tracker is not affiliated with, endorsed by, or directly connected to any educational institution, university, or academic body. Users should verify the accuracy of their academic information through their university's official website or application.

1.3. The information provided when using the App is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Users who choose to access the App from other locations do so on their own initiative and are solely responsible for compliance with local laws.

1.4. The App and Services are not tailored to comply with industry-specific regulations (including HIPAA, FISMA, or GLBA). If your interactions would be subject to such laws, you may not use the App or Services in a way that would violate them.

2. User Responsibilities and Representations

2.1. By using the App, you represent and warrant that:

(a) all registration information you provide is true, accurate, current, and complete;
(b) you will maintain the accuracy of such information and promptly update it as necessary;
(c) you have the legal capacity to enter into these Terms and agree to comply with all provisions herein;
(d) you are not a minor in the jurisdiction in which you reside;
(e) you will not access the App through automated or non-human means, including bots or scripts;
(f) you will not use the App for any illegal or unauthorized purpose;
(g) your use of the App will not violate any applicable law, regulation, or third-party rights; and
(h) you will not use university login credentials, email accounts, or other restricted credentials to access the App.

2.2. Users are solely responsible for the accuracy, completeness, and legality of any information entered into the App. You understand and agree that the App does not verify, approve, or endorse any user-submitted information.

2.3. Any violation of these representations may result in the suspension or termination of your account and the refusal of any current or future access to the App.

3. User Registration

3.1. To use the Em Degree Tracker App, you must create an account by providing accurate, current, and complete registration information. You agree to maintain the confidentiality of your account credentials.

3.2. Any activity that occurs under your account is your responsibility. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3. We reserve the right to remove, reclaim, or change a username if it is deemed inappropriate, offensive, misleading, or otherwise objectionable at our sole discretion.

4. User Data

4.1. The App maintains certain data that you submit for the purpose of managing functionality, grades, courses, and overall performance. While we perform routine backups, you are solely responsible for any data you transmit, submit, or enter into the App.

4.2. We shall not be liable for any loss, corruption, unauthorized access, or destruction of your data. You are solely responsible for maintaining backup copies of all important information.

4.3. You understand that your contributions or data may be subject to removal, restriction, or limitation under our operational rights as described in Sections 15, 17, and 21. The App does not guarantee the preservation, accuracy, or availability of any user-submitted content.

5. User Generated Contributions

Users may submit data such as grades, courses, academic program details, or other information ("User Contributions"). By providing this data, you confirm that you have the necessary rights to submit it and that it does not violate any third-party rights, intellectual property, privacy laws, or other applicable regulations.

You are solely responsible for the accuracy, completeness, and reliability of your contributions. Contributions must not contain unlawful, fraudulent, defamatory, obscene, abusive, harmful, or otherwise inappropriate content. Any violations may result in warnings, account suspension, termination, or referral to the appropriate legal authorities.

5.1 Contribution License

By submitting User Contributions, you grant Emdidi Studio a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to store, process, display, and use your contributions solely for the purposes of operating, maintaining, improving, and providing the App and its related services.

All feedback and ideas you provide are considered non-confidential and may be used, modified, or shared by Emdidi Studio without any obligation to notify you or provide compensation. You retain ownership of your personal data and contributions.

6. Prohibited Activities

As a user of the Services, you agree not to:

Use the Services for any unlawful purpose or in violation of applicable laws or regulations.
Attempt to bypass app limitations, restrictions, or security features.
Systematically retrieve data or content to create a database or directory without permission.
Trick, defraud, or mislead us or other users, including attempts to learn sensitive account information.
Upload or transmit viruses, malware, spyware, or disruptive code.
Impersonate another user or person, or use another user's credentials.
Reverse engineer, decompile, or disassemble the app's software.
Copy, adapt, or create derivative works from the Services or Content without authorization.
Use the Services to harass, abuse, intimidate, or threaten others.
Collect user information for unsolicited communication or spam.
Use the Services to advertise or offer to sell goods or services without our permission.
Sell or transfer your account or profile.
Engage in any other activity that interferes with or disrupts the Services.

7. Intellectual Property Rights

7.1 Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to:

Access the Services; and
Download or print a copy of any portion of the Content for your personal, non-commercial use.

No part of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, posted, displayed, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission. 7.2 Your Submissions

If you provide us with any feedback, suggestion, idea, or other submission ("Submissions"), you agree that we will own all intellectual property rights in such Submissions and may use them without acknowledgment or compensation to you.

8. Third-Party Content and Copyright

8.1. The App may display publicly available data sourced from official university websites or other public sources, including course names, credit hours, university names, and program information. All content and intellectual property rights remain with their respective owners.

8.2. Em Degree Tracker does not claim ownership of any third-party content. We only display publicly available course titles and credit hour information from official university catalogs.

8.3. The use of publicly accessible course titles and credit hour data is intended for informational and organizational purposes only and is believed to fall within "fair use" under applicable copyright laws.

8.4. Users are responsible for verifying the accuracy and current status of any academic information shown in the App through official university channels.

8.5. The Services may contain links to third-party websites and content not investigated, monitored, or checked for accuracy by us. We are not responsible for any third-party content accessible through the Services.

8.6. Inclusion of or linking to any third-party websites or content does not imply approval or endorsement by us.

8.7. Any purchases made through third-party websites are exclusively between you and the applicable third party. We take no responsibility for such purchases.

9. Purchases and Payments

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You agree to promptly update account and payment information as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.

We reserve the right to refuse any order placed through the Services, and to limit or cancel quantities purchased per person, per household, or per order.

10. Subscriptions

10.1. Em Degree Tracker offers optional subscription plans and in-app purchases to unlock premium features, managed through your device's official app store.

10.2. Payment will be charged to your app store account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.

10.3. You may cancel your subscription at any time through your app store account settings. Upon cancellation, your subscription will remain active until the end of the current billing cycle.

10.4. Your subscription will continue and automatically renew unless canceled. The length of your billing cycle depends on the subscription plan you choose.

10.5. The app itself does not handle subscription cancellations directly. For questions or concerns, email us at mgr.appcontact@gmail.com.

10.6. We may, from time to time, make changes to the subscription fee and will communicate any price changes in accordance with applicable law.

10.7. By subscribing, you agree to the billing terms set by your device's app store.

11. Refunds Policy

All sales are final and no refund will be issued by us directly. Any refund requests must be made through your device's app store in accordance with their respective policies.

12. Mobile Application License

12.1. We grant you a revocable, non-exclusive, non-transferable, limited license to install and use the App on devices you own or control, strictly in accordance with these Terms.

12.2. You shall not:

(a) decompile, reverse engineer, disassemble, or decrypt the App;
(b) make any modification, adaptation, or derivative work from the App;
(c) violate any applicable laws, rules, or regulations in connection with your use of the App;
(d) remove, alter, or obscure any proprietary notice;
(e) use the App for any revenue-generating endeavor not intended by us;
(f) make the App available over a network permitting simultaneous access by multiple users;
(g) use the App to create a competing product or service;
(h) use the App to send automated queries or unsolicited emails; or
(i) use our interfaces to design or distribute other applications for use with the App.

12.3. If you download the App through an app store ("App Distributor"):

(a) the license is limited to a non-transferable right to use the App on a device associated with your account;
(b) we are responsible for maintenance and support as specified in these Terms or required by law;
(c) in the event of a warranty failure, you may notify the App Distributor for a possible refund per their policies;
(d) you represent that you are not located in a country subject to a US government embargo; and
(e) App Distributors are third-party beneficiaries and may enforce these Terms against you.

13. Advertising

13.1. The App may contain advertisements served by third-party ad networks or advertisers.

13.2. We provide the space to place such advertisements and have no other relationship with advertisers.

14. Electronic Communications, Transactions, and Signatures

14.1. By using the App, sending emails, submitting forms, or completing digital transactions, you are engaging in electronic communications with Emdidi Studio.

14.2. You consent to receive electronic communications from us, including agreements, notices, disclosures, and other messages. These communications satisfy any legal requirement that they be in writing.

14.3. You agree to the use of electronic signatures, contracts, orders, and other records, as well as the electronic delivery of notices, policies, and transaction records.

14.4. You waive any rights or requirements that require original signatures, paper delivery, or non-electronic record retention.

15. Disclaimer

15.1. The Em Degree Tracker App and related services are provided on an "as-is" and "as-available" basis. Your use of the App is at your sole risk. To the fullest extent permitted by law, Emdidi, its affiliates, officers, directors, employees, agents, and licensors disclaim all warranties, express or implied.

15.2. We make no warranties about the accuracy or completeness of content provided through the App. We assume no liability for:

(a) errors, mistakes, or inaccuracies of content;
(b) personal injury or property damage resulting from your use of the App;
(c) unauthorized access to our servers or any personal or financial information stored therein;
(d) interruption or cessation of transmission to or from the App;
(e) bugs, viruses, or similar transmitted through the App by any third party; or
(f) errors or omissions in any content or losses incurred from the use of any content available through the App.

15.3. The App may include third-party services such as RevenueCat for subscription management. We are not responsible for any product or service advertised or offered by a third party through the App.

15.4. The list of universities, academic programs, and courses provided within the App may be incomplete, outdated, or subject to change. Users are responsible for verifying academic information through official university channels.

15.5. The App is intended to supplement, not replace, the guidance of academic advisors or university officials.

15.6. The App is not a substitute for official university systems or procedures.

16. Limitations of Liability

16.1. In no event will Emdidi or its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the App.

16.2. Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to the cause of action arising.

16.3. Certain U.S. state laws and international laws do not allow limitations on implied warranties or the exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply.

17. Indemnification

17.1. You agree to defend, indemnify, and hold harmless Emdidi Studio, its subsidiaries, affiliates, officers, agents, partners, and employees from and against any claims, losses, liabilities, damages, costs, or expenses, including reasonable attorneys' fees, arising from or related to:

(a) your use of the App or Services;
(b) your breach of these Terms;
(c) any breach of your representations or warranties in these Terms;
(d) your violation of third-party rights, including intellectual property; or
(e) any harmful act toward other users of the Services or misuse of the App.

17.2. We reserve the right to assume exclusive control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

18. Corrections

18.1. The Services may contain typographical errors, inaccuracies, or omissions, including descriptions, pricing, or availability.

18.2. We reserve the right to correct any errors, inaccuracies, or omissions, and to update or remove any content without prior notice.

18.3. We are not responsible for any loss, damage, or inconvenience arising from these corrections or modifications.

19. Services Management

19.1. We reserve the right to operate, modify, suspend, or discontinue the App or any part thereof at any time and without prior notice.

19.2. We reserve the right, but are not obligated, to:

(a) monitor the Services for violations of these Terms and applicable laws;
(b) take appropriate legal action against users who violate the law or these Terms;
(c) refuse, restrict access to, or disable any of your contributions or content;
(d) remove or disable files or content that are excessive in size or harmful to our systems;
(e) investigate, suspend, or terminate accounts if we believe a user poses a risk; and
(f) implement technical measures to protect the security and integrity of the Services.

19.3. We do not guarantee continuous, uninterrupted, or error-free access to the Services and are not responsible for any damages or data loss from service interruptions.

19.4. Your use of the Services is at your own risk, and you are solely responsible for taking precautions to protect your data, content, and devices.

20. Changes, Modifications, and Interruptions

20.1. Emdidi Studio reserves the right to modify or replace these Terms at any time. Users will be notified of any material changes, and continued use of the App after such modifications constitutes acceptance of the revised Terms.

20.2. We reserve the right to change, modify, suspend, or discontinue the App or Services at any time and for any reason, at our sole discretion, without notice.

20.3. We cannot guarantee that the App or Services will always be available. We will not be liable for any loss, damage, or inconvenience caused by your inability to access or use the App during any downtime or discontinuance.

21. Term and Termination

21.1. These Terms remain in full force and effect while you use the Services.

21.2. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON, FOR ANY REASON OR FOR NO REASON, INCLUDING BREACH OF THESE TERMS OR ANY APPLICABLE LAW OR REGULATION.

21.3. We may terminate or suspend your account, delete your content, and revoke your access to the Services at any time, without prior warning.

21.4. If your account is terminated or suspended, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.

21.5. We reserve the right to take any appropriate legal action, including pursuing civil, criminal, or injunctive relief, as we deem necessary to enforce these Terms.

22. Dispute Resolution

22.1. If you have any dispute or concern regarding the Services, you agree to first contact us at mgr.appcontact@gmail.com and attempt to resolve the matter informally for at least thirty (30) days.

22.2. If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

22.3. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). Arbitration fees and arbitrator compensation shall be governed by the AAA Consumer Rules.

22.4. The arbitration may be conducted in person, through document submission, by phone, or online. The arbitrator will issue a written decision and must follow applicable law.

22.5. If a Dispute proceeds in court rather than arbitration, it shall be brought exclusively in the state or federal courts located in Kansas, and the Parties consent to the jurisdiction of those courts.

22.6. In no event shall any Dispute be commenced more than one (1) year after the cause of action arose.

22.7. The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually:

(a) no arbitration shall be joined with any other proceeding;
(b) there is no right or authority for any Dispute to be arbitrated on a class-action basis; and
(c) there is no right or authority for any Dispute to be brought in a representative capacity on behalf of others.

22.8. The following Disputes are not subject to the above provisions:

(a) disputes seeking to enforce or protect intellectual property rights;
(b) disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized use; and
(c) claims for injunctive relief.

23. Governing Law

These Terms and your use of the App and Services are governed by and construed in accordance with the laws of the United States and, more specifically, the laws of the State of Kansas, without regard to its conflict of law principles.

24. California Users and Residents

If you are a California resident and a complaint regarding the App is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs:

25. Miscellaneous

These Terms and any policies or operating rules posted by us constitute the entire agreement and understanding between you and Emdidi. Our failure to exercise or enforce any right or provision shall not operate as a waiver of that right or provision.

We are not responsible or liable for any loss, damage, delay, or failure to act caused by events beyond our reasonable control. If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of the remaining provisions.

No partnership, joint venture, employment, or agency relationship is created between you and us as a result of these Terms or your use of the App.
